Acceptance of Terms

By accessing or using the Acadyl platform, website, or any related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you are entering into these Terms on behalf of an organisation, you represent that you have the authority to bind that organisation. If you do not agree to these Terms, you must not use the Service.

These Terms constitute a legally binding agreement between you (or your organisation) and Acadyl. Please read them carefully before using the Service.

Service Description

Acadyl provides a cloud-based school management platform designed for educational institutions. The Service includes modules for student management, fee collection, attendance tracking, examination management, communication tools, and analytics dashboards, among other features.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

Accounts & Access

To use the Service, you must create an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

• You must notify us immediately of any unauthorised use of your account.
• You may not share your account credentials with any third party.
• You are responsible for ensuring that all users accessing the Service through your account comply with these Terms.
• We reserve the right to suspend or terminate accounts that violate these Terms.
• You must be at least 18 years old to create an account.

Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:

• Use the Service in any way that violates applicable local, national, or international laws or regulations.
• Transmit any unsolicited or unauthorised advertising or promotional material.
• Attempt to gain unauthorised access to any part of the Service or its related systems.
• Introduce viruses, trojans, worms, or other malicious or technologically harmful material.
• Reverse engineer, decompile, or disassemble any part of the Service.
• Use the Service to store or transmit infringing, libellous, or otherwise unlawful content.
• Interfere with or disrupt the integrity or performance of the Service.
• Scrape, crawl, or use automated means to access the Service without our prior written consent.

Subscription & Billing

Access to the Service is provided on a subscription basis. By subscribing, you agree to pay the applicable fees as described on our Pricing page.

• Billing Cycle: Subscriptions are billed monthly or annually, depending on the plan you select.
• Auto-Renewal: Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date.
• Price Changes: We will provide at least 30 days' notice before any price changes take effect.
• Refunds: Fees are non-refundable except as required by law or as expressly stated in our refund policy.
• Taxes: You are responsible for all applicable taxes associated with your subscription.
• Failed Payments: If payment fails, we may suspend access to the Service until payment is received.

Your Data

You retain all ownership rights to the data you input into the Service ("Customer Data"). By using the Service, you grant us a limited, non-exclusive licence to process your Customer Data solely to provide and improve the Service.

We will not access, use, or disclose your Customer Data except as necessary to provide the Service, comply with legal obligations, or as otherwise described in our Privacy Policy. Upon termination of your account, you may export your data within 30 days, after which we will delete it in accordance with our data retention policy.

Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of Acadyl and its licensors. Our trademarks, logos, and service marks may not be used in connection with any product or service without our prior written consent.

You retain ownership of any content you create using the Service. By submitting feedback, suggestions, or ideas about the Service, you grant us a perpetual, irrevocable, royalty-free licence to use such feedback for any purpose.

Confidentiality

Each party agrees to keep confidential any non-public information disclosed by the other party that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and circumstances of disclosure. This obligation does not apply to information that is or becomes publicly available through no fault of the receiving party, or that is independently developed without use of the confidential information.

Warranties & Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or completely secure. We do not warrant that the results obtained from use of the Service will be accurate or reliable. You use the Service at your own risk.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ACADYL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

Termination

Either party may terminate these Terms at any time. You may terminate by cancelling your subscription and ceasing use of the Service. We may terminate or suspend your access immediately, without prior notice, if you breach these Terms or if we are required to do so by law.

Upon termination, your right to use the Service will immediately cease. Provisions that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of Pakistan, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Lahore, Pakistan. If you are located outside Pakistan, you may also have rights under the laws of your local jurisdiction.

Changes to Terms

We reserve the right to modify these Terms at any time. We will provide at least 14 days' notice of material changes via email or a prominent notice on our website. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes.
